UK Section 172 Statement

During the year ended 31 December 2025, the Directors have acted, and continue to act, in good faith to promote the success of the Company for the benefit of its shareholder, while giving due consideration to the interests of a broad range of stakeholders in accordance with Section 172(1) of the Companies Act 2006.

The Company maintains continuous engagement with its shareholder, Aramco Overseas Company B.V. (“AOC B.V.”). In addition to regular interactions, the Board holds an annual meeting at the Company’s premises, during which it reviews the state of affairs, financial performance, employee related matters, and business planning.

The stakeholders of the Company include:

Employees

Employees are a core asset of the Company, particularly given that personnel form a significant component of the services delivered. The Company is committed to equal opportunities and ensures that recruitment, employment, development, and promotion decisions are based solely on individual capabilities, irrespective of sex, age, race, disability, ethnic origin, or religion.

Engagement with employees takes place regularly through a range of channels, including all employee email communications and a biennial employee survey capturing feedback on key matters affecting the workforce. The Company also hosts events at which employees receive updates on the business plan and organisational developments from the Board of Directors and local management.

Suppliers

The Company relies on its suppliers to deliver high-quality services that support operational excellence, safety, and reliability. It is committed to maintaining professional, ethical, and constructive relationships with its suppliers. Procurement and contracting activities follow fair and transparent processes, including tendering where applicable, to ensure value and integrity in supplier engagement.

Customers

The Company provides services to its ultimate parent, Saudi Arabian Oil Company (“Saudi Aramco”), and to its affiliated entities. In delivering these services, the Company focuses on effectiveness, quality, and cost efficiency. As the Company’s operations are fully aligned with Saudi Aramco’s business needs, it is inherently dependent on economic and commercial developments within Saudi Aramco, which can have a material impact on the level of activity within the Company.

The local community

The Company recognises its corporate social responsibility to operate safely, ethically, and effectively. Each year, the Company organises initiatives that contribute to the local community and wider society. Employees of AOC UK actively participate in these initiatives, and their involvement is strongly encouraged and appreciated by management.
